Introduction

These Terms of Service ("Terms") govern your access to and use of Convos's AI-driven conversational texting and sentiment analysis platform (the "Services"). By creating an account, accessing, or using the Services, you ("you" or "Client") agree to be bound by these Terms and our Privacy Policy , which is incorporated by reference.

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements.

Account registration

To access the Services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that contain false or outdated information or that violate these Terms.

Service description

Convos provides a platform that helps organizations gauge opinions, gather feedback, and conduct outreach through automated, AI-powered conversational texting. Users may upload contact lists and supporting materials to generate feedback and insights. Our system analyzes responses using artificial intelligence and delivers actionable sentiment reporting and engagement analytics.

The Services are provided as a software-as-a-service (SaaS) platform. Features, functionality, and availability may change over time as we improve and develop the platform.

User obligations

  • Data rights and permissions. You represent and warrant that you have all lawful rights and necessary permissions to upload and use any contact data you provide to Convos, and that the collection and use of such data complies with all applicable laws.
  • Contact consent (political messaging). If you send text messages that applicable law or regulators treat as political in nature, you represent and warrant that you have obtained any required prior consent from each contact, including express prior consent under the Telephone Consumer Protection Act (TCPA) where applicable.
  • Do Not Call (DNC) compliance. You represent and warrant that contacts you upload have been screened as required for applicable Do Not Call lists, including the National Do Not Call Registry and other applicable state or federal registries. You are solely responsible for DNC screening and ongoing compliance.
  • TCPA and messaging compliance. You are responsible for ensuring all messages sent through the Services comply with the TCPA, CAN-SPAM Act, and all other applicable federal, state, and local telecommunications and messaging laws. This includes maintaining proper consent records, honoring opt-out requests, and including required disclosures.
  • Compliance with laws. You are responsible for consulting qualified legal counsel to ensure your use of the Services complies with all applicable laws and regulations, including privacy, telecommunications, and any relevant campaign, election, or industry-specific rules.
  • Accurate information. You agree to provide truthful, accurate, and non-misleading information in connection with your use of the Services, including campaign materials, talking points, and contact data.

Acceptable use

You agree not to use the Services to:

  • Send unsolicited or spam messages
  • Harass, threaten, or intimidate any person
  • Transmit content that is unlawful, defamatory, obscene, or fraudulent
  • Impersonate any person or entity
  • Interfere with or disrupt the integrity or performance of the Services
  • Attempt to gain unauthorized access to any part of the Services
  • Use the Services in a way that violates any applicable law or regulation
  • Reverse-engineer, decompile, or disassemble any aspect of the Services
  • Use the Services to build a competing product or service, or for benchmarking without our prior written consent
  • Circumvent any rate limits, usage restrictions, or security features of the platform

Violation of this section may result in immediate suspension or termination of your account.

Payment and billing

Certain features of the Services require a paid subscription. By subscribing to a paid plan, you agree to pay all applicable fees as described in your order form or the pricing page at the time of purchase.

  • Billing cycle: Fees are billed in advance on a monthly or annual basis, depending on your selected plan.
  • Overages: If your usage exceeds the limits of your plan (e.g., message volume), additional fees may apply as described in your plan terms.
  • Taxes: Fees are exclusive of applicable taxes, which you are responsible for paying.
  • Late payments: We reserve the right to suspend access to the Services for overdue balances. Outstanding amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.
  • Refunds: Fees are generally non-refundable except as expressly stated in your order form or as required by law.

Intellectual property

Platform ownership

The Services, including all software, algorithms, designs, text, graphics, and other content provided by Convos, are owned by or licensed to Convos and are protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Services beyond the limited license to use them as described here.

Your data

You retain all ownership rights in the data you upload to the Services ("Client Data"). By uploading Client Data, you grant Convos a limited, non-exclusive license to use, process, and store that data solely for the purpose of providing and improving the Services.

Derived insights

Convos may generate aggregated, de-identified analytics and insights from use of the Services. These derived insights do not identify you or your contacts, and Convos may use them to improve the platform and for other lawful business purposes.

Feedback

If you provide suggestions, ideas, or feedback about the Services, you grant Convos an unrestricted, perpetual, irrevocable license to use that feedback for any purpose without compensation to you.

Data usage and privacy

  • No selling of data. We will not sell your data or your contacts' data. We will not share, disclose, or make available user-uploaded data to unrelated third parties without your permission or a legal requirement.
  • Data security. We store and handle user data using industry-standard security measures, including encryption in transit and at rest. For details, see our Privacy Policy .
  • Right to erasure. You may request removal or destruction of data you uploaded. We will respond to valid requests within thirty (30) days or as required by applicable law.
  • Sub-processors. We use third-party service providers (sub-processors) to deliver the Services, including cloud infrastructure, SMS delivery networks, and AI processing providers. These sub-processors are contractually obligated to protect your data.

Confidentiality

Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information, but no less than reasonable care. Confidential information does not include information that is publicly available, already known to the receiving party, independently developed, or rightfully received from a third party without restriction.

Service availability and support

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. Unscheduled downtime may occur due to circumstances beyond our control. We will use commercially reasonable efforts to resolve service disruptions promptly.

Halt or suspension of service

We may pause, throttle, or suspend your access if your activities negatively affect message deliverability, carrier relationships, or the reputation of the Services. This includes situations involving excessive spam complaints, carrier blocks, or content that violates carrier acceptable use policies. We will make reasonable efforts to notify you before or promptly after any suspension and work with you to resolve the issue.

Termination

Either party may terminate these Terms at any time with thirty (30) days' written notice to the other party. We may terminate or suspend your access immediately and without notice if you materially breach these Terms or if continued service poses a risk to the platform or other users.

Upon termination:

  • Your right to access the Services ceases immediately.
  • You may request export of your Client Data within thirty (30) days of termination. After that period, we may delete your data.
  • Any outstanding fees become immediately due and payable.
  • Sections that by their nature should survive termination will survive, including intellectual property, limitation of liability, indemnification, and governing law.

Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, CONVOS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT OR DATA WILL BE SECURE OR NOT OTHERWISE LOST OR DAMAGED.

CONVOS DOES NOT PROVIDE LEGAL ADVICE. THE SERVICES DO NOT CONSTITUTE LEGAL COMPLIANCE TOOLS, AND YOU ARE SOLELY RESPONSIBLE FOR ENSURING YOUR USE COMPLIES WITH ALL APPLICABLE LAWS.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CONVOS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

IN NO EVENT SHALL CONVOS'S TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNTS YOU PAID TO CONVOS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THIS LIMITATION APPLIES REGARDLESS OF WHETHER THE LIABILITY IS BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY.

You acknowledge that you assume full responsibility for the legal and regulatory compliance of campaigns and messages sent through the Services.

Indemnification

You agree to indemnify, defend, and hold harmless Convos, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Any claim that your Client Data or messages sent through the Services infringe the rights of a third party
  • Your failure to obtain required consents from contacts

Dispute resolution

The parties agree to attempt to resolve any dispute arising under these Terms through good-faith negotiation. If a dispute cannot be resolved within thirty (30) days, either party may pursue binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in the State of New Jersey, and judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver: To the fullest extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction for matters involving intellectual property rights or unauthorized access to the Services.

Force majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including natural disasters, acts of government, internet or telecommunications failures, carrier outages, pandemics, labor disputes, or acts of terrorism. The affected party will use commercially reasonable efforts to mitigate the impact and resume performance as soon as practicable.

Modifications to these Terms

We may revise these Terms from time to time. When we make material changes, we will notify you by posting the updated Terms on this page with a revised "last updated" date and, where required, by email or through the platform. Continued use of the Services after the effective date of updated Terms constitutes acceptance. If you do not agree to the revised Terms, you must stop using the Services.

Governing law

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to conflict-of-law principles. Subject to the dispute resolution provisions above, the parties consent to the exclusive jurisdiction of the state and federal courts located in New Jersey.

General provisions

  • Entire agreement. These Terms, together with the Privacy Policy and any order forms, constitute the entire agreement between you and Convos regarding the Services and supersede all prior agreements and understandings.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver. No failure or delay by either party in exercising any right shall operate as a waiver of that right.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. Convos may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
  • Notices. Notices to Convos should be sent to the contact information below. We may send notices to the email address associated with your account.
